Terms of Service

1. Acceptance of Terms

By accessing and using TexToTale ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

TexToTale is a SaaS platform that generates short-form social media videos from text, screenshots, or images using AI and automated rendering technology. The Service allows users to create videos with automated narration and synchronized text overlays.

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

You must be at least 18 years old or have the legal capacity to enter into binding contracts in your jurisdiction.

4. User Content and License Grant

You retain all intellectual property rights in and to the text, images, and other content ("User Content") that you upload to the Service.

By uploading or sharing User Content on or through the Service, you hereby grant to Timon Giess - Webservices & Apps a comprehensive, worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such User Content for any purpose, including but not limited to:

  • Providing, maintaining, and improving the Service;
  • Creating, rendering, and delivering generated videos to you;
  • Marketing, advertising, and promoting TexToTale;
  • Training and developing machine learning models; and
  • Any other commercial or non-commercial purpose.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to grant the license set forth herein, and that the User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

5. AI-Generated Content

The Service uses artificial intelligence and machine learning to generate videos. While we strive to produce high-quality outputs, we do not guarantee the accuracy, completeness, reliability, or suitability of the generated content. You acknowledge that AI-generated output may contain errors or inaccuracies.

You are solely responsible for reviewing and verifying any content generated by the Service before using it, particularly for commercial or public distribution purposes.

6. Prohibited Uses

You may not use our Service to:

  • Create content that infringes on any third-party intellectual property rights, copyrights, or trademarks;
  • Generate misleading, deceptive, or fraudulent content;
  • Create content that promotes illegal activities or violence;
  • Generate content that is hateful, harassing, discriminatory, or defamatory;
  • Create content depicting minors in inappropriate situations;
  • Attempt to reverse engineer, decompile, or copy any part of the Service;
  • Attempt to gain unauthorized access to the Service or its related systems;
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.

7. Payment and Subscriptions

Certain features of our Service require payment. By subscribing, you agree to pay all fees associated with your subscription plan. All payments are processed via Stripe, and you agree to Stripe's terms of service for payment processing.

Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time through your account settings. Refunds are provided at our sole discretion.

8. Intellectual Property

The Service, including but not limited to its software, algorithms, designs, graphics, and all content generated by the Service (other than User Content), are and will remain the exclusive property of Timon Giess - Webservices & Apps and its licensors. The Service is protected by copyright, trademark, and other laws.

No part of the Service may be reproduced, distributed, modified, or used for any commercial purpose without prior written consent from us.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, or suspected illegal activity.

Upon termination, your right to use the Service will immediately cease. Any provisions that by their nature should survive termination shall remain in effect.

10. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free; or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Timon Giess - Webservices & Apps, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Service;
  • Any unauthorized access to or use of our servers and/or personal information stored therein;
  • Any interruption or cessation of transmission to or from the Service;
  • Any bugs, viruses, or the like that may be transmitted to or through the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Timon Giess - Webservices & Apps and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, excluding its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Rosenheim, Germany.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated terms on this page. Your continued use of the Service after such changes constitutes acceptance of the new terms.

15. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
